1. Acceptance of Terms

By accessing or using Digitlogy's website, services, or SaaS tools, you confirm that you:

• Are at least 18 years of age or have parental/guardian consent
• Have read and understood these Terms
• Agree to be legally bound by these Terms and our Privacy Policy
• Have the authority to enter into this agreement on behalf of your business

2. Our Services

Digitlogy provides the following services subject to these Terms:

• Digital marketing services (SEO, Social Media, Google Ads, Meta Ads)
• Web design and development
• Brand identity and design services
• SaaS tools: RTOTracker.in, WhatsApp.digitlogy.in, GMB.digitlogy.in
• Analytics, reporting, and consulting services

We reserve the right to modify, suspend, or discontinue any service at any time with reasonable notice.

3. User Accounts & SaaS Tools

• You are responsible for maintaining the confidentiality of your account credentials
• You must notify us immediately of any unauthorized access to your account
• You are responsible for all activity occurring under your account
• One person/business per account — sharing credentials is not permitted
• We reserve the right to suspend accounts that violate these Terms

4. Payment Terms

• All prices are in Indian Rupees (INR) unless stated otherwise
• SaaS subscriptions are billed monthly or annually in advance
• Payments are processed via Razorpay — a PCI-compliant payment gateway
• Failed payments may result in service suspension after 7 days grace period
• Price changes will be notified 30 days in advance via email
• Refunds are governed by our Refund Policy
• GST applicable as per Indian tax laws (18% on digital services)

5. Intellectual Property

Digitlogy's Content: All content on digitlogy.in — including logos, text, graphics, code, and designs — is owned by Digitlogy and protected under Indian Copyright Act, 1957.

Client Content: Content provided by you remains your property. By sharing it with us, you grant Digitlogy a license to use it for service delivery.

Work Product: Creative work (designs, content, campaigns) created specifically for you becomes your property upon full payment. SaaS tool code remains Digitlogy's property.

You may not copy, reproduce, or use Digitlogy's proprietary content without written permission.

6. Prohibited Use

You agree NOT to use our services or SaaS tools for:

• Spam, unsolicited bulk messaging, or violating WhatsApp/Meta policies
• Illegal activities under Indian law or international law
• Distributing malware, viruses, or harmful code
• Impersonating other businesses or individuals
• Scraping our website or extracting data without permission
• Any activity that violates third-party platform terms (Google, Meta, WhatsApp)
• Reselling our SaaS tools without an authorized reseller agreement

Violation will result in immediate account suspension without refund.

7. Termination

By You: Cancel your subscription anytime via your account settings or by emailing us with 15 days notice for ongoing service contracts.

By Us: We may terminate your account if you:

• Violate these Terms of Service
• Fail to pay dues after a 14-day grace period
• Engage in fraudulent or illegal activity

Upon termination, your access to SaaS tools ceases. You remain liable for any outstanding payments.

8. Limitation of Liability

Digitlogy's total liability to you for any claim arising from our services shall not exceed the total amount paid by you to Digitlogy in the 3 months preceding the claim.

We are not liable for losses caused by: third-party platform outages (Google, Meta, WhatsApp), algorithm changes, your failure to implement recommendations, or circumstances beyond our control.

9. Governing Law & Disputes

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of courts in Baran, Rajasthan, India.
